This Agreement outlines the terms, conditions, and boundaries for participating in any product, program, coaching container, live event, or mentorship experience offered by Stay Connected LLC. Whether you’re enrolling in a private mentorship, digital course, group coaching program, or attending an in-person event — these terms apply.
We take our work seriously, and this Agreement ensures that both parties are operating in clarity, alignment, and mutual respect. It is designed to protect the integrity of the coaching space, uphold professional standards, and set the tone for a high-level mentorship experience.
Please read this carefully. By completing a purchase, attending a program, or accessing any content provided by Stay Connected LLC, you agree to the terms outlined below.
This Agreement (“Agreement”) is entered into between:
Stay Connected LLC, a limited liability company formed in the State of Florida, operated by Leopoldo Herrera III and Clarisse Lopez (“Company”, “Coach”, “we”, or “us”)
And You, the individual purchaser, participant, or user of any program, product, service, or coaching container offered by the Company (“Client”, “you”, or “your”).
By purchasing, enrolling in, or participating in any Program (as defined below), you agree to the following terms and conditions.
These terms apply to all offers—whether digital, in-person, live, recorded, private, or group-based—regardless of duration or delivery method, including but not limited to:
• Mentorship programs
• Masterminds
• Courses and trainings
• Live events and retreats
• Coaching calls, private sessions, or group communities
All transactions, agreements, and communications between the Company and Client fall under the governance of these Terms & Conditions.
All sales are final. Due to the digital and energetic nature of coaching and mentorship, Stay Connected LLC maintains a strict no-refund and no-cancellation policy.
By purchasing, you commit to paying the full agreed-upon amount, whether as a one-time payment or through a payment plan. Non-participation, early exit from a program, or dissatisfaction does not release you from this obligation.
Programs, services, and digital products are non-transferable. You may not apply payment from one offer or event to another unless explicitly authorized by the Company in writing.
If you are on a payment plan, payments are due on the schedule agreed upon at checkout.
Payment plans may not be paused, extended, or renegotiated after purchase. All payments must be made on time according to the original agreement.
If a payment is missed and not received within 24 hours of the due date:
• All coaching, content access, and participation will be paused immediately until payment is made
• The Client is still responsible for completing all payments in full, regardless of whether they continue participating in the Program or choose to withdraw
• Clients who attempt to use program spaces, coaching support, or access content while in default of payment may be denied access and/or removed from containers without further notice
It is your responsibility to ensure your payment method remains current and that your payments process successfully.
The Client must be caught up on all payments to the Company to attend in-person events.
Stay Connected LLC does not guarantee results of any kind. While testimonials and examples may be shared, these are not promises of what you will experience.
Your results depend entirely on your own effort, energy, decision-making, and personal circumstances. The Company is not liable for any perceived or actual outcomes related to business, income, mindset, relationships, or wellbeing.
You agree not to hold the Company, its contractors, or affiliates responsible for any outcomes.
By participating in any Program, you grant Stay Connected LLC the unrestricted, royalty-free, worldwide right to use, reproduce, and publish any written or visual content you voluntarily share, including but not limited to:
• Wins or breakthroughs submitted via message, email, community chats, or call replays.
• Screenshots of conversations or feedback shared with the Coach or team.
• Testimonials, reviews, or praise about your experience inside the Program.
These may be used in marketing, promotions, digital campaigns, or sales materials. Identifying details (such as full names) will be used only at the Company’s discretion and in alignment with brand integrity.
You may request that your name be removed or anonymized, and reasonable efforts will be made to honor such requests if received in writing.
All content, videos, trainings, frameworks, and materials are the sole intellectual property of Stay Connected LLC and may not be copied, reproduced, shared, or distributed without explicit written permission.
You acknowledge that frameworks, teachings, and tools may be delivered in a fluid and evolving manner. The Coach is not obligated to deliver content in a fixed format, curriculum, or predetermined structure. You agree that the value lies in the energy, context, and mentorship—not in rigid delivery of specific templates or lesson styles.
You may not use any materials to create derivative programs, teach the concepts, or repurpose the tools in any commercial way unless given express license. Theft, plagiarism, or resale of Company materials in whole or in part is strictly prohibited and will be pursued through legal action.
Any unauthorized use of intellectual property, including repackaging of curriculum, tools, call recordings, or branding, constitutes a violation of federal copyright law and this Agreement. Legal remedies may include statutory damages, financial damages, permanent removal from programs, cease-and-desist orders, attorney’s fees, and further legal proceedings as necessary.
Confidentiality is respected in all coaching spaces, and you agree to uphold the privacy of other participants. However, the Company may disclose information if legally required or in situations where harm is suspected.
Program access is limited to the individual who purchased. You may not share, sell, or transfer access to any portion of the Program (including logins, files, links, group communities, or events). Violating this clause may result in immediate removal without refund and legal action if appropriate.
Live group calls, private calls, or other coaching experiences may be recorded by Stay Connected LLC for training, accountability, or content quality purposes.
Call schedules are generally posted and upheld with consistency. However, the Company reserves the right to adjust, reschedule, or change the timing or format of any live call or coaching session when necessary. This may occur in the event of unforeseen circumstances, travel, emergencies, or business conflicts. While rescheduling is not common, it may occur at the sole discretion of the Company and without penalty.
If you fail to attend a scheduled call (no-show), the session will be forfeited without refund or replacement unless a significant personal emergency is communicated and acknowledged in writing. If you need to reschedule a call, you must provide a minimum of 24 hours' notice in writing. Requests received after this window may not be accommodated and the session may be forfeited. If you arrive late to a call, the session will still end at the originally scheduled time to honor time boundaries.
By enrolling in any Program, you consent to being recorded and waive any rights to compensation for use. Recordings may be shared internally with other clients but will not be used publicly without direct consent.
If you are enrolled in a close-proximity or high-touch mentorship experience with Leopoldo Herrera III and/or Clarisse Lopez, response times are generally within 24 to 48 hours during business days. Response times are estimates, not guarantees. The Coaches are not available for communication on Wednesdays, Saturdays, or Sundays. This schedule is designed to support both client boundaries and company sustainability.
Stay Connected LLC reserves the right to remove any Client from a Program—without refund—if they:
• Display disrespectful or disruptive behavior
• Violate energetic or communication standards
• Harass the Coach, team, or other members
• Disregard the values or integrity of the container
This is a high-standard, high-frequency space. Clients are expected to operate in alignment with personal responsibility, sovereignty, and respect.
If you attend any in-person experience hosted by Stay Connected LLC (including but not limited to retreats, workshops, or VIP events):
• You accept full responsibility for your safety, behavior, and health during the event and while traveling to/from the venue
• The Company is not liable for travel delays, accommodation issues, lost items, illness, injury, or event-related dissatisfaction
• You agree to abide by all local laws, venue rules, and event policies
• You understand that no refunds will be issued for any reason if you are unable to attend the event, including due to travel disruptions or personal circumstances
• Attendance is contingent on acceptance of these terms, and access to the event or related programming will not be granted until all required documents or agreements are completed.
Media Release:
By attending any in-person event, you grant Stay Connected LLC permission to photograph, video, and/or record you and to use this content for marketing, social media, and promotional purposes without compensation.
The Company is not responsible for:
• Lost, damaged, or stolen personal items during virtual or in-person programming
• Technology issues on the Client’s end (e.g., Wi-Fi failures, login problems)
• Any indirect, incidental, or consequential damages as a result of participating in any program.
Participation is at your own risk, and you assume full responsibility for your belongings, experience, and outcomes.
The Program is for educational and informational purposes only. It is not intended as medical, psychological, or therapeutic advice. By enrolling, you acknowledge that:
• The Coaches are not licensed medical or mental health professionals
• The Program is not a substitute for therapy, counseling, diagnosis, or treatment
• You are responsible for seeking professional care if needed
By enrolling, you agree not to initiate any chargebacks or payment disputes without first contacting Stay Connected LLC to resolve the issue. Unauthorized chargebacks are a violation of this Agreement and may result in legal action, reporting to credit bureaus, and permanent denial from future programs.
Stay Connected LLC shall not be held liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, public health emergencies, government restrictions, war, internet outages, or other unforeseen disruptions.
This Agreement shall be governed by the laws of the State of Florida.
Any dispute arising from or relating to this Agreement shall first be resolved through informal negotiation. If unresolved, disputes shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in the State of Florida.
You waive the right to trial by jury or participation in a class action. Each party bears their own legal fees unless otherwise directed by the arbitrator. Judgment may be entered in any court of competent jurisdiction.
You agree not to publicly or privately make knowingly false, misleading, or malicious statements about Stay Connected LLC, its Coaches, programs, or participants. Violation of this clause may result in removal, legal action, or financial penalties. Nothing in this clause prohibits truthful reviews or lawful statements protected under federal or state law.

If any provision of this Agreement is found to be invalid or unenforceable under Florida law, the remaining provisions shall remain in full force and effect.
By completing purchase electronically, you agree that electronic acceptance constitutes a legally binding signature under Florida’s Uniform Electronic Transaction Act.
Stay Connected LLC reserves the right to modify or update these terms at any time. Continued participation in any Program constitutes your agreement to updated terms.
By enrolling in any offer from Stay Connected LLC, you acknowledge:

• You are voluntarily entering into this coaching or mentorship relationship
• You agree to all outlined policies without reservation
